NeOnc Technologies prices $15 million registered direct at $4.20 with one-for-one warrant coverage

The Nasdaq-listed brain-cancer developer is selling about 3.57 million shares or pre-funded warrants, each unit carrying a five-year warrant at the same $4.20 exercise price. The company reported roughly $2.0 million of cash at June 30 and a $14.2 million second-quarter net loss.

NeOnc Technologies Holdings, Inc. (Nasdaq: NTHI) said on Sept. 9 that it has priced a registered direct offering expected to raise approximately $15 million in gross proceeds "before deducting the placement agent's fees and other estimated offering expenses." The transaction has not closed. The company said closing is expected "on or about September 10, 2026, subject to the satisfaction of customary closing conditions."

The structure is a unit deal. NeOnc is selling 3,571,430 shares of common stock — or pre-funded warrants in lieu of shares — at "$4.20 per share (or $4.1999 per pre-funded warrant)," each sold together with an accompanying warrant. Each unit carries one accompanying warrant, for warrants to purchase up to 3,571,430 additional shares. That is full, one-for-one warrant coverage.

The accompanying warrants carry an exercise price of $4.20 per share and a five-year term from issuance, according to the release. The pre-funded warrants, for investors who elect them, are exercisable at $0.0001 per share and, in the release's words, "will expire when exercised in full."

The economics of a unit price deserve care. The $4.20 is what a buyer pays for a share plus a warrant together, not for the share alone. Once any value is attributed to the five-year warrant, the effective price attributable to the common stock is below $4.20. The release does not allocate value between the two components, and the company did not state a use of proceeds.

Roth Capital Partners and A.G.P./Alliance Global Partners are acting as placement agents. The offering is being made off a shelf registration statement on Form S-3, File No. 333-294845, which the release says became effective on April 9, 2026.

NeOnc described the offering as "priced at-the-market under Nasdaq rules" and as involving "new and existing institutional investors." That phrasing is the issuer's own characterization of the pricing benchmark; the release does not identify the investors.

The dilution is meaningful relative to the company's size. NeOnc reported a second-quarter 2026 net loss of "$14.2 million, or $(0.58) per diluted share" in an Aug. 10 results release. Those two disclosed figures imply a weighted average of roughly 24.5 million diluted shares for the quarter — a derived approximation, and one that describes a quarterly weighted average rather than shares outstanding on any given date. Against a base of that order, 3,571,430 new shares represent roughly a mid-teens percentage increase, and the position rises toward the high-twenties percent if the accompanying warrants are fully exercised.

The company entered the quarter-end with a thin balance sheet. The Aug. 10 release put cash and cash equivalents at June 30, 2026 at "approximately $2.0 million," alongside an undrawn "$10.0 million line of credit with HCWG, a related party." It reported research and development expense of $2.6 million for the quarter, against $0.7 million a year earlier, and general and administrative expense of $0.9 million, against $1.0 million. The comparable year-earlier quarterly net loss was $5.7 million, or $(0.30) per share. The $14.2 million net loss is substantially larger than the sum of those two highlighted expense lines, and the release did not itemize the remainder.

That release also listed other capital sources the company said it maintains: a Mast Hill equity facility with "$44.5 million remained available," a "$300 million shelf registration," and an at-the-market program. Facilities of that kind are capacity, not cash, and drawing on them generally means issuing additional shares. Read together with the September registered direct, they describe an issuer whose financing pipeline runs primarily through equity.

No going-concern language appeared in the Aug. 10 results release, and the September pricing release makes no statement about the company's cash position or runway.

On the clinical side, the Aug. 10 release described a "fully enrolled Phase 2a study evaluating intranasal NEO100 in patients with recurrent IDH1-mutant high-grade glioma," and said NEO100 holds FDA Fast Track, Orphan Drug and Rare Pediatric Disease designations. The same release said the company had completed the topline analysis of that study and that the results were presented on Aug. 12 via an investor conference call; the topline results themselves are not set out in either release, and this article does not characterise them. It also said the company received UAE IND approval for NEO100 in June, and separately for NEO212. Designations of that kind govern development and review procedure; they are not determinations of safety or efficacy, and they are not marketing authorizations. The September pricing release refers to ongoing Phase II work on NEO100 and NEO212 and does not report new clinical results.

For holders, the practical questions are the ones the pricing release does not answer: how the proceeds will be applied, what the post-closing share count will be, and whether the accompanying warrants become an overhang at $4.20. Those will be addressed, if at all, in the prospectus supplement filed under the shelf and in the company's next periodic report, not in the announcement itself. Until the offering closes, the terms above describe a priced transaction rather than a completed one.
