Three Nasdaq compliance letters in two days show the micro-cap cure clock running both ways
Three Nasdaq-listed micro-caps disclosed listing-compliance developments on August 10 and 11, and between them they cover every stage of the process: entering a cure period, being granted a second one, and exiting with the file closed. Taken together the filings are a useful reminder that on the small tiers of a US exchange, the listing itself is a live variable rather than a fixed feature of the investment.
uCloudlink Group said it received a letter from Nasdaq dated August 10 informing it that the closing bid price of its American depositary shares had stayed below US$1.00 for 33 consecutive business days, putting it outside Listing Rule 5450(a)(1). According to the company's announcement, the notice has no immediate effect on the listing or trading of the ADSs, and uCloudlink has until February 8, 2027 to post a closing bid of at least US$1.00 for ten consecutive business days. The release adds that if the company misses that date, it may be eligible for a further 180-day period at Nasdaq's discretion.
The arithmetic behind the notice is not trivial. StockAnalysis data on August 12 put uCloudlink's market value at $27.85 million with the ADSs at $0.73, a nano-cap valuation that has shrunk sharply over the past year. Operationally, the company's first-quarter release reported revenue of $16.9 million, down 10.1% from $18.7 million a year earlier, and a net loss of $3.5 million against a $0.6 million loss in the comparable quarter. Adjusted EBITDA swung to negative $2.0 million from positive $1.4 million. Cash and equivalents stood at $28.0 million on March 31, down from $32.8 million at the end of 2025, after an $8.7 million operating cash outflow in the quarter.
Management guided to second-quarter revenue of $19.5 million to $22.5 million and is scheduled to report those results on August 18, which will be the first substantive update investors get inside the cure window. Notably, the compliance announcement made no reference to a reverse split or to a change in the ADS-to-ordinary-share ratio, the two structural levers a foreign private issuer typically reaches for when a bid-price deficiency will not resolve on its own. That leaves the price question open rather than answered.
Netcapital sits one stage further along. The fintech, which operates a funding portal, a broker-dealer subsidiary and an advisory arm, said Nasdaq notified it on August 10 that it had been granted an additional 180 calendar days, to February 1, 2027, to satisfy the minimum bid price rule. Its original deficiency notice dated to February 4, 2026. The shares continue to trade on the Nasdaq Capital Market, and the company said it may pursue a reverse stock split if that becomes necessary to get back over a dollar. February 1 is a hard stop: this is the second and final 180-day period available under the rule, and failing to cure by then results in a delisting determination.
The underlying numbers are stark. Simply Wall St data as of August 11 showed Netcapital at $0.35 a share and roughly $3.2 million of market value, against trailing twelve-month losses of about $28.13 million on revenue of $739,500. The same profile flags substantial shareholder dilution over the past year, delayed 10-K and 10-Q filings during 2026, and average weekly share-price swings of 33.5% over three months. A second cure period buys time; it does not address any of that.
Nocera represents the exit. The company said on August 11 that it had cleared every open Nasdaq listing matter, reporting stockholders' equity of $5,435,030 as of June 30 against the $2.5 million minimum in Listing Rule 5550(b)(1), following an equity deficiency notice received on April 17. Chief executive Andy Jin said in the release that the outcome closes the book on every open listing matter "on the strength of the balance sheet rather than on an extension."
The bid-price half of that record came a different way. Nocera's July 29 announcement confirms that Nasdaq's compliance letter of July 28 followed a 1-for-30 reverse stock split that took effect on July 6, with trading on the adjusted basis beginning July 7. StockAnalysis showed the stock at $1.97 at the August 7 close, with about 1.56 million shares outstanding and a market value near $3.07 million, an unusually small share count that makes day-to-day pricing highly sensitive to modest order flow.
There is also unresolved credit stress on the same balance sheet the release points to. An 8-K filed July 31 disclosed that on July 27 Nocera received a default notice on a senior secured convertible promissory note of $8,000,000 issued in November 2025, with $6,029,495 of unpaid Alternate Conversion Floor Amounts due as of the notice. The filing states that the collateral agent seized roughly $4,658,686 from a blocked custodial account and that the investor asserts about $1,370,809 remains owed, with the company discussing a possible waiver and no assurance of an agreement. The same filing describes a variable interest entity arrangement giving Nocera control over a 30% stake in Taiwan-based QMAX Technology in exchange for 300,000 restricted shares valued at $1.36 each.
None of the three situations is unusual for companies of this size, and that is the point. Bid-price and equity deficiencies are routine on the Capital Market and Global Market tiers, and the remedies available, reverse splits, equity raises, asset sales and extensions, each carry costs to existing holders in the form of dilution, a smaller share base or simply more time spent under a deadline. Nor is the downside abstract: a cure period that runs out ends in a delisting determination, which is what makes each of these clocks worth watching rather than filing away. Investors reading any of these releases should treat regained compliance as a statement about a listing standard, not about the operating business behind it.
