Ten Weeks After Its Nasdaq Debut, Bitzero's Quarterly Filing Carries Going-Concern Uncertainty and a $24 Million Working Capital Deficit

Bitzero Holdings uplisted to Nasdaq in June without a reverse split. Its June-quarter Form 6-K reports a $26.5 million quarterly loss and material uncertainty about the company continuing as a going concern.

Bitzero Holdings began trading on Nasdaq under the symbol AIBZ on June 9, according to the company's June 4 listing announcement, which did not specify which Nasdaq tier. Roughly ten weeks later it filed a quarterly report containing material-uncertainty going-concern language.

A note on the vintage of what follows: the figures below cover the three and nine months ended June 30 and are now nearly two months old. They come from a Form 6-K filed August 17, reviewed here through StockTitan's filing page rather than the original document lodged with regulators.

On an IFRS basis, Bitzero reported third-quarter revenue of $10,650,851, which the company described as a 65.5 percent increase from $6,433,870 a year earlier, and a third-quarter net loss of $26,464,717. The nine-month net loss was $39,421,781. The filing states that "events and conditions indicate a material uncertainty that may cast significant doubt on the Company's ability to continue as a going concern." The subject of that sentence is Bitzero itself; the disclosure is the company's own, made about its own position.

The company also reported adjusted EBITDA of $3,136,431 for the quarter, at a 29.4 percent margin, a figure that divides that quarter's adjusted EBITDA by that quarter's revenue. The company labels adjusted EBITDA a non-GAAP financial measure, although the financial statements themselves are prepared under IFRS. Either way it is a measure the company defines itself. It is not comparable to the IFRS net loss above and excludes items the company selects.

The balance sheet behind the language

At June 30 the company held $2.9 million of cash and cash held in trust, $2.5 million of digital currency, and $2.0 million of restricted cash that it said was released on August 6. Current assets of $13.0 million against current liabilities of $37.0 million left a working capital deficit of $24.0 million. Share counts at the same date were 55,122,366 voting common shares and 2,312,243 non-voting common shares.

What happened after the balance sheet date

Two subsequent events disclosed in the filing changed that picture. On July 30 Bitzero closed a private placement of 5,828,342 special warrants at US$4.25 each for gross proceeds of about US$25 million. On August 6 it repaid a JGB senior secured loan in full, covering $22,375,000 of principal and $45,700 of interest.

The placement carries forward dilution. According to the July 30 closing release, each special warrant converts at no additional cost into one common share and one warrant exercisable at US$5.00 per share for five years. Conversion occurs on the earlier of a prospectus qualification and four months and one day after closing. Set against 55,122,366 voting shares outstanding at June 30, that is 5,828,342 additional shares on conversion with an equal number of five-year warrants standing behind them.

The revenue figure that is not yet a lease

A June 15 disclosure described a binding letter agreement with OneQode Networks Pte. Ltd., described by Bitzero as a global high-performance cloud and network infrastructure provider, covering a 15-year lease of 110MW of capacity at a site in Namsskogan, Norway. The company put total revenue over that term at approximately US$2.6 billion, "excluding annual escalation adjustments, power costs, and phased deployment timing."

That figure is a company projection attached to an agreement the company said had not been finalized. "A definitive lease agreement has not been executed as of the date of this news release," the June 15 filing states. Completion of any definitive lease was described as "subject to customary conditions, including due diligence, technical specifications and credit support arrangements." On the margin, the company said its "expected site net operating income margin, based on current internal assumptions, is estimated to be approximately 85%," which it said implies approximately US$151 million in annual net operating income at full capacity. That implied figure is the company's own arithmetic on its own assumptions, applied to a lease it has not executed. The counterparty's planned large-scale GPU deployment was described as ready for service delivery in 2027.

What to watch

The distance between a US$2.6 billion fifteen-year revenue projection on an unexecuted agreement and a $24 million working capital deficit at the last reported balance sheet date is the substance of this story. The two numbers describe different time horizons, and only one of them has been reported rather than forecast.

One structural point separates Bitzero from many micro-caps that reach Nasdaq. According to its June 4 announcement, the company added the Nasdaq listing without a share consolidation: no action was required of existing shareholders, previously issued certificates remained valid and need not be exchanged, and CUSIP and ISIN numbers were unchanged. It did not arrive carrying the reverse-split history common among uplisted nano-caps. The company did not leave its existing Canadian listing in the process: it said it would remain listed on the Canadian Securities Exchange, with its ticker there changing from BITZ.U to AIBZ.U on June 9, while its shares were expected to be removed from the OTCQB Venture Market the same day.

Bitzero's next reporting period ends September 30. Until that disclosure arrives, the most recent quarterly report available carries a going-concern uncertainty, the working capital deficit stands at the June 30 figure, and the definitive lease underpinning the company's headline revenue number has not been shown to be executed.
