Algorhythm Holdings Opens Sale Review of SemiCab Logistics Unit 11 Days After Filing a Going-Concern 10-Q

The company says it has received indications of interest in its AI freight unit, but no determination has been made. Algorhythm reported $3.0 million of second-quarter revenue and a $593,000 gross loss. Its share count rose from 3.41 million at year-end to 16.99 million by Aug. 11.

Algorhythm Holdings Inc. said Tuesday morning that it is pursuing a possible sale of SemiCab, its artificial-intelligence freight logistics business, and is weighing alternatives including a spin-off into a separate company or continuing to operate and develop the unit itself. The disclosure came in a release the company issued through GlobeNewswire at 9:15 a.m. ET on Aug. 25.

The company framed the review as unresolved. According to the release, no determination has been made about SemiCab's disposition, and the company cautioned that there is no assurance its strategic review or its discussions regarding either the energy company it is separately evaluating or SemiCab will result in the execution of a definitive agreement or the completion of any transaction. Chief Executive Gary Atkinson said in the release that the company had received indications of interest from multiple parties.

The release did not name any counterparty, disclose any indicative price or valuation range, name a financial adviser, or set a timetable. It did not state what proportion of SemiCab the company owns. Those omissions matter for a review at this stage: an indication of interest is not an offer, and the company's own language stops short of describing any binding step.

Running alongside the SemiCab review is a second, separate process. The company said it is concurrently evaluating a business combination in the energy infrastructure area, and it listed among its risks the challenges of integrating an energy business and fluctuations in demand for artificial-intelligence and cloud infrastructure. The release said that if that combination were completed the energy business would become the company's principal operating business going forward, which would recast what Algorhythm is. The two processes are described as parallel rather than linked.

Neither release broke out SemiCab's standalone revenue or earnings, so the unit's contribution cannot be sized from the material reviewed here. At the company level, in its second-quarter results release dated Aug. 14, Algorhythm reported revenue of $3.0 million for the June quarter, which it described as a 25% increase sequentially and a 161% increase from $1.2 million in the second quarter of 2025.

That growth did not carry through to the bottom line. The same release reported a net loss of $4.149 million for the quarter, against a net loss of $809,000 a year earlier, and a gross loss of $593,000 for the quarter, wider than the $340,000 gross loss it reported for the same quarter a year earlier. The company described gross margin as having improved by 850 basis points sequentially; that is the company's characterisation, and it is a sequential comparison rather than a year-over-year one. A business generating revenue at a negative gross margin loses money on each additional dollar of sales before any operating expense is counted.

On liquidity, the second-quarter release reported $4.972 million of cash plus $2.983 million of restricted cash as of June 30, or roughly $8.0 million in total, of which the restricted portion is not freely available. Mr. Atkinson said in that release that the company's focus would be on financial discipline, controlling costs and reducing expenses.

The company's quarterly report on Form 10-Q for the period ended June 30 was filed Aug. 14. A filing digest published by StockTitan, which is a secondary summary of that document rather than the document itself, reports that management stated substantial doubt exists about the company's ability to continue as a going concern and that its cash on hand is not sufficient to fund operations for twelve months. The same digest puts the accumulated deficit at $73.978 million, the six-month net loss from continuing operations at $9.529 million and six-month net sales at $5.405 million.

According to that digest, the balance sheet at June 30 showed total assets of $18.568 million against total liabilities of $15.288 million, leaving shareholders' equity of $3.280 million, an improvement from a deficit of $1.860 million at the end of 2025. It reports promissory notes payable of $6.413 million and related-party notes of $2.300 million.

The digest also describes a related-party credit problem, and the direction of it matters. According to the StockTitan summary, it is the company that missed the payments: Algorhythm failed to make payments of $165,000 due Feb. 1 and $150,000 due July 10 to Ajesh Kapoor, triggering defaults under those related-party loans. Mr. Kapoor is the lender in that description, not the borrower, and nothing in the material reviewed for this article indicates he failed to meet any obligation of his own. Algorhythm's own website describes Mr. Kapoor as founder and chief executive of SemiCab Holdings LLC, a subsidiary of the company, a role that places him inside the business now under strategic review; the StockTitan digest describes him as a director and executive. This publication was not able to retrieve the Form 10-Q itself to confirm either characterisation or the loan terms, and the default is reported here solely on the basis of that secondary digest. A company in default on money owed to an insider who also runs the unit it is trying to sell is a disclosure shareholders should read alongside the strategic review rather than separately from it.

The equity story behind the improvement in book value is dilution. The second-quarter results release reported 15,670,768 common shares outstanding at June 30, compared with 3,414,542 at the end of 2025. The StockTitan digest of the 10-Q reports 16,990,135 shares outstanding as of Aug. 11, which is an increase of 1,319,367 shares from the June 30 figure in roughly six weeks by this publication's subtraction of the two reported counts. The digest also records the issuance of 3,500 shares of Series A preferred stock carrying a 9% annual return, non-convertible and senior to the common stock, and a $500,000 settlement of Blue Yonder litigation on July 2.

Neither the Aug. 25 release nor the results release addressed the company's Nasdaq listing status, and no listing deficiency disclosure appeared in the material reviewed for this article.

No share-price figure for Algorhythm is given here. The U.S. market was open at the time of writing, so no closing price for the session in which investors would react to the announcement yet exists.

What would change the picture is a definitive agreement, an amended disclosure of SemiCab's ownership and standalone economics, or a financing that addresses the going-concern statement. None of those had been disclosed as of publication.
