Fast Track Group Called a 1-for-20 Consolidation Vote for Monday. Nasdaq Set the Stock's Suspension for Tuesday.

Nasdaq is due to suspend trading in the ordinary shares of Fast Track Group (Nasdaq: FTRK) at the opening of business Tuesday, according to a Form 6-K the Singapore-based entertainment company filed Monday. The filing states that "trading of the Company's ordinary shares will be suspended at the opening of business on August 18, 2026." The Herald could not independently confirm, as of publication Tuesday, that the suspension had taken effect.

The suspension follows an August 11 determination by Nasdaq staff to delist the shares after the company failed to satisfy the US$1.00 minimum bid price requirement of Listing Rule 5550(a)(2) through two consecutive cure periods. The filing says: "The Company had received a period of 180 calendar days, or until February 9, 2026, and a second period of an additional 180 calendar days, or until August 10, 2026, to regain compliance with the Minimum Bid Price Rule."

The second of those periods was announced in a February 12, 2026 release, which said the company had until August 10, 2026 to meet the requirement and set out the standard cure -- a closing bid of at least US$1.00 for a minimum of 10 consecutive business days.

The compliance history is short because the listing is. Fast Track Group's annual report on Form 20-F says the company went public on May 23, 2025 at US$4.00 per share, selling 3,750,000 shares plus a 562,500-share over-allotment for gross proceeds of roughly US$17.25 million. A first 180-day cure period ending February 9, 2026 implies the initial deficiency notice arrived in mid-August 2025, under three months after the IPO.

The company intends to appeal to a Nasdaq Hearings Panel. The filing says it "intends to appeal Staff's determination to a Hearings Panel (the 'Panel') pursuant to the procedures set forth in the Nasdaq Listing Rule 5800 Series," and is explicit about what that appeal buys and what it does not: a timely hearing request "will not stay the trading suspension" but "will stay the filing of Form 25-NSE pending the Hearings Panel's decision." In the interim, the filing says, the company "expects that its securities will be eligible to be traded on the OTC Markets under the ticker symbol 'FTRKF.'"

The sequence is what makes the filing unusual. The company had already called an extraordinary general meeting for Monday, August 17, with a July 15 record date, to vote on a 1-for-20 share consolidation. The meeting notice provides that "every twenty (20) issued and unissued Ordinary Shares of a nominal or par value of US$0.001 each...will be consolidated into one (1) Ordinary Share of a nominal or par value of US$0.02 each," with authorized capital remaining at US$50,000, redivided into 2,500,000 shares.

The notice also sets out the resulting share structure, and it was corrected once. The July 28 filing put 1,090,625 Class A ordinary shares in the hands of existing shareholders after the consolidation, with the balance of the 2,500,000 authorized shares left authorized but unissued and divided between Class A and a new Class B -- a dual-class framework. A Form 6-K/A filed July 29 amended the third proposal to 1,115,726 Class A shares held by existing shareholders; the corrected authorized-but-unissued figures appear in the amended notice only as images and the Herald could not verify them. Multiplying 1,115,726 back out gives 22,314,520 shares outstanding before the consolidation, consistent with the 22.31 million Stock Analysis lists, while the superseded 1,090,625 implies 21,812,500 -- the count the annual report gives for the February 28, 2026 fiscal year end.

On the arithmetic alone, the consolidation would clear the bid-price bar. Stock Analysis records a Monday close of US$0.16, down 44.06 percent on the session, for a market value of about US$3.57 million. Applied to that close, a 1-for-20 consolidation implies a theoretical US$3.20 share. But the staff determination had already issued six days before the meeting, and per the company's own filing the route back onto the exchange now runs through the Hearings Panel rather than through the consolidation. The company had not disclosed the meeting's results as of publication Tuesday.

Measured against the US$4.00 IPO price, Monday's US$0.16 close is a decline of 96 percent in under 15 months. Both figures are on the same, pre-consolidation basis: the 1-for-20 consolidation had not taken effect as of Monday's close. Stock Analysis puts the 52-week range at US$0.155 to US$1.04.

The underlying business is small and loss-making. Stock Analysis lists trailing-twelve-month revenue of US$1.70 million, up 111.9 percent, against net income of negative US$4.82 million -- a loss roughly 2.8 times revenue. The 20-F reports 21,812,500 ordinary shares outstanding as of the February 28, 2026 fiscal year end.

Customer concentration is the risk the annual report puts first. The 20-F discloses that two customers accounted for 85 percent and 15 percent of revenue in fiscal 2026, and 60 percent and 37 percent in fiscal 2025. On those disclosed percentages, two accounts produced all of fiscal 2026 revenue and 97 percent of fiscal 2025 revenue.

Financing was arranged before the determination. A July 10, 2026 release says the company closed a US$1.5 million senior secured convertible note and established a US$20 million equity line of credit with an affiliate of the same U.S. institutional investor, with Z2 Capital LLC, a division of Alexander Capital, L.P., acting as placement agent. The release does not disclose the note's conversion price, discount, interest rate or maturity.

The facility is large relative to the company behind it. US$20 million is about 5.6 times Monday's US$3.57 million market value and roughly 12 times trailing revenue. Drawing on an equity line means selling shares into the market, and once the suspension takes effect that market is OTC Markets rather than Nasdaq. In the July release, chief executive Harris Lim said: "This financing strengthens our balance sheet and provides the flexibility needed to move decisively."

The filing does not give a hearing date, and the Panel's decision is still ahead. Until it comes, the company expects the shares to trade off-exchange, and the stay on the Form 25-NSE is the only thing holding the delisting short of final.
