Aptevo Pairs a Warrant Inducement With a PIPE for $4.5 Million, Attaching Five Warrants for Every Share Sold

Aptevo Therapeutics agreed on August 12 to induce the exercise of 254,922 existing warrants at $4.03 and to sell up to 861,708 shares in a concurrent PIPE at the same price, for roughly $4.5 million gross. Aptevo Therapeutics Inc. (Nasdaq Capital Market: APVO), a Seattle clinical-stage developer of multispecific antibody immunotherapies, announced on Wednesday, August 12 that it had entered into two concurrent financing transactions expected to produce approximately $4.5 million in gross proceeds before placement agent fees and expenses. The company said the transactions are expected to close on or about Thursday, August 13, subject to customary closing conditions. As of this writing, the closing had not been confirmed.

The first leg is a warrant inducement. Under inducement agreements, existing holders of common warrants agreed to exercise those warrants for cash for 254,922 shares of common stock at an exercise price of $4.03 per share. In consideration, Aptevo agreed to issue new inducement warrants to purchase 1,274,610 shares, also at a $4.03 exercise price. Per the company's release, the new inducement warrants become exercisable only upon stockholder approval and expire five years from the date they first become exercisable.

The second leg is a private placement. Under a securities purchase agreement, Aptevo agreed to sell up to 861,708 unregistered shares of common stock at $4.03 per share, with pre-funded warrants available in lieu of common stock for investors that would otherwise breach beneficial ownership limits. The PIPE also carries common warrants covering 4,308,540 shares at a $4.03 exercise price. The pre-funded warrants are immediately exercisable; the accompanying common warrants, like the inducement warrants, require stockholder approval before they can be exercised, and carry a five-year term.

The share math is consistent with the headline number: 254,922 shares at $4.03 is roughly $1.03 million and 861,708 shares at $4.03 is roughly $3.47 million, summing to about $4.5 million gross. The warrant coverage is the more notable structural feature. In both legs the warrants attached are exactly five times the shares purchased, giving effective coverage of 500%, and every warrant is struck at the same $4.03 as the purchase price rather than at a premium. Roth Capital Partners, LLC acted as exclusive placement agent. Aptevo said net proceeds will be used for working capital purposes and that it has agreed to file a registration statement covering resale of the shares issued and issuable on exercise of the securities.

Every figure above is on the same, current side of Aptevo's split history, and that history is unusually dense. The company has completed four reverse splits since early 2024: 1-for-44, effective at 5:01 p.m. Eastern on March 5, 2024, with split-adjusted trading from March 6; 1-for-37, effective at 5:01 p.m. Eastern on December 3, 2024, with split-adjusted trading from December 4; 1-for-20, effective at 5:01 p.m. Eastern on May 23, 2025, with split-adjusted trading from May 27; and most recently 1-for-18, effective at 5:01 p.m. Eastern on December 29, 2025, with split-adjusted trading from December 30, 2025. All share counts, the $4.03 price and the $4.03 warrant strike cited here are post-1-for-18 figures and cannot be compared with pre-December 2025 per-share data.

The balance sheet gives the financing its context. In its first-quarter 2026 Form 10-Q, Aptevo reported cash and cash equivalents of $14.5 million as of March 31, 2026, down from $21.6 million at the end of 2025, and a net loss of $6.7 million on research and development expense of $3.9 million and general and administrative expense of $2.9 million. The filing reported 1,203,753 shares of common stock issued and outstanding as of March 31, 2026, up from 997,830 at year-end. Management disclosed recurring losses, roughly $8.0 million of quarterly operating cash burn and limited liquidity, and stated that those factors raise substantial doubt about the company's ability to continue as a going concern for the one-year period following issuance of the financial statements. Aptevo had not reported second-quarter 2026 results as of this writing.

Aptevo also has standing equity lines. The Q1 filing describes two standby equity purchase agreements totaling up to $85 million, of which $67.2 million remained available, and notes that the company's at-the-market facility was fully utilized under its Form S-3 restrictions with additional capacity expected after October 2026. Approximately $0.9 million was raised under the existing standby facilities during the first quarter. Separately, the company announced on June 30, 2026 a $1.5 million non-dilutive research grant from the Andy Hill Cancer Research Endowment (CARE) Fund supporting APVO451, a nectin-4-targeted trispecific candidate for solid tumors. Its lead clinical asset, mipletamig, a CD123 x CD3 bispecific antibody, is in the Phase 1b/2 RAINIER trial in newly diagnosed acute myeloid leukemia in combination with venetoclax and azacitidine.

The dilution profile is the central risk. The 254,922 inducement shares plus up to 861,708 PIPE shares total 1,116,630 shares, which is close to the entire 1,203,753-share count reported at March 31 — a near-doubling of the outstanding share base at closing. On top of that, the inducement warrants and PIPE common warrants together cover 5,583,150 shares, roughly 4.6 times the March 31 share count, all struck at $4.03 and all contingent on a stockholder vote that has not yet been held. StockAnalysis reported APVO at $4.18 with a market capitalization of approximately $5.21 million on 1.25 million shares as of August 7, 2026, and a 52-week decline of 89.30%; StockTitan's data panel showed a market capitalization of approximately $5.01 million as of August 12. Both are third-party figures and approximate, and neither reflects trading on August 13, which had not begun as of this writing. At that scale, warrant exercises alone could multiply the share count several times over.

Investors should weigh the disclosed going-concern doubt, the dilution overhang described above, and the execution risk in the stockholder vote required to make most of the warrants exercisable — if approval is not obtained, the company does not receive that potential warrant capital, and if it is obtained, existing holders face substantial dilution. A company of this size carries thin trading liquidity, in which relatively small order flow can move the quoted price and widen spreads, and the four reverse splits since March 2024 illustrate the recurring pressure on the $1.00 Nasdaq minimum bid price standard that a nano-cap with continuing operating losses can face. Nothing here is a recommendation to buy or sell the security, and the closing of these transactions remains subject to customary conditions.
